Terms and Conditions for Buying and Selling Cryptocurrencies

Dear User, by registering on the Sarmayex platform, you acknowledge and accept all terms and conditions set forth in this agreement. Therefore, please read the following carefully:


1. Registration and Identity Verification

1.1 The user acknowledges that all activities must comply with the laws and regulations of the Islamic Republic of Iran. Any activity outside this framework is solely the responsibility of the user.

1.2 The user is required to provide accurate and authentic identity information, including national ID details, personal bank card information, and verification selfie. In case of false or misleading information, Sarmayex reserves the right to immediately suspend the user’s account and report the matter to the relevant authorities.

Banking information and wallet addresses must strictly belong to the verified user. The use of wallet addresses belonging to other users or bank accounts is strictly prohibited. Any legal or criminal consequences arising from incorrect or mismatched information will be the sole responsibility of the user. Sarmayex ensures the protection of users’ personal data and provides a secure environment for online payments.

1.3 Upon request by Sarmayex, the user must promptly submit a declaration form in accordance with anti-money laundering (AML) and anti-phishing regulations issued by cyber police authorities. During the review period, the user’s order will remain in a “Pending Review” status. Any price or value fluctuations of the underlying cryptocurrency or fiat (IRR) during this period are beyond Sarmayex’s control.

1.4 Users are allowed to register only one account using their personal information. If an account is suspended due to violations or legal orders, re-registration with the same credentials is not permitted unless an official unblocking order is issued and approved by Sarmayex.

1.5 Changing the username or creating multiple accounts for a single individual is strictly prohibited and illegal.

1.6 Sarmayex staff will never request your password or security codes sent via SMS or email. If such requests are made, users must refrain from sharing any sensitive information.

1.7 Based on judicial authority directives, any fiat deposit (IRR) will result in a 72-hour restriction on order processing.

1.8 If a user deposits fiat currency but does not purchase cryptocurrency, withdrawal of funds will be restricted for 72 hours.

1.9 In the event of death or legal incapacity of a user, the account and all related orders will be immediately suspended. Assets will be converted into fiat at the current market rate (after deducting fees) and credited to the user’s account balance. This authority is granted to Sarmayex by the user. No claims or objections from third parties, heirs, or legal representatives will be accepted. Funds will remain in custody until official inheritance documents are presented.


2. Responsibility for Transactions

2.1 Users are responsible for safeguarding their account credentials and must not share them with third parties. Any login to the account is considered to be performed by the user. Sarmayex bears no responsibility for unauthorized access.

2.2 Users must conduct transactions solely on their own behalf. Any activity for third parties (including buying, selling, deposits, or withdrawals) is strictly prohibited. Brokerage or operating accounts on behalf of others is illegal. Sarmayex reserves the right to suspend accounts, freeze funds, or halt orders in case of violations or legal inquiries.

2.3 Upon request from cyber police or judicial authorities, user accounts may be suspended. Reactivation is subject to official clearance from the relevant authority.

2.4 If a user is suspected of money laundering following an official inquiry, Sarmayex may suspend transactions and provide user data to authorities.

2.5 Official Sarmayex social media channels are accessible only through the official website. Any other channels or links are fraudulent. Sarmayex bears no responsibility for losses resulting from such sources.

2.6 Sarmayex is not responsible for fluctuations in the value of listed cryptocurrencies. If a cryptocurrency is delisted globally, it will also be removed from Sarmayex, and any resulting loss is the user’s responsibility.


3. Order Processing

3.1 Users must ensure the accuracy of wallet addresses when placing orders. Sarmayex holds no responsibility for incorrect addresses. The submitted wallet address will be considered final.

3.2 Sarmayex shall bear no responsibility for the deposit of any token or coin made via an incorrect blockchain network or involving any coin/token not supported by the exchange. Accordingly, sole responsibility for any such mistaken deposit shall rest with the user, and the user shall have no right to assert any claim or complaint in this respect.

3.3 In the event that Sarmayex, whether due to error, credits funds or cryptocurrency to a user’s account or makes any miscalculation, it shall be entitled, at any time and at its sole discretion, to rectify such error and withdraw the relevant amounts from the user’s accounts without the need for any administrative or judicial procedures or prior written consent from the user. Sarmayex’s determination regarding the occurrence of such error, unjustified payment, and the necessity of withdrawal shall be deemed valid and binding, and the user hereby waives any and all rights to raise objections or claims in this regard.

3.4 In the event that, for any reason attributable to the user—including but not limited to an incorrect wallet address, failure to provide a wallet address, failure to submit the required declaration, failure to submit a bank account، or use of a third party’s bank card—the order is not confirmed or processed, Sarmayex shall credit the relevant amount to the user’s account balance after deducting an amount calculated based on the real-time market price.

3.5 Cryptocurrency prices are updated in real time. The user shall rely on the final updated amount at the time of order placement. The final recorded amount will be communicated to the user via email upon order submission.

3.6 Payments must be made using the user’s own bank account. Mismatched account details will result in suspension and fund blocking.

3.7 Users must verify their orders before payment. Sarmayex holds no responsibility after payment is completed.

3.8 Provided that all required documents are complete and any applicable restriction period has expired, orders will be placed in the processing queue within 30 minutes. Processing may take up to 24 hours depending on request volume and network congestion. Sarmayex shall not be responsible for delays caused by high network traffic, network latency, or banking system delays, and shall bear no liability for any delay in the receipt of cryptocurrency in the user’s wallet.

3.9 In the event that, due to technical issues or intentional or unintentional malicious interference with the pricing system, disruptions occur in price updates resulting in a significant discrepancy from the actual market rate, Sarmayex reserves the right to suspend buy orders or sell requests and recalculate them based on the correct market rate. In the event that a transaction has already been completed, the applicable rate shall be the actual market rate at the time of the transaction.

3.10 Once payment has been made and the order has been completed, cancellation is not permitted under any circumstances. The user is responsible for placing orders with the utmost accuracy. In the event that the user submits a cancellation request for any reason, such request shall be subject to Sarmayex’s approval and feasibility, and if accepted, the cancellation will be processed after deducting the applicable fees.

3.11 The user is solely responsible for having sufficient knowledge of the purchased cryptocurrency. As Sarmayex acts strictly as an intermediary for receiving fiat and converting it into cryptocurrency, it bears no responsibility for price fluctuations or the status of any cryptocurrency. Furthermore, if, after the user’s purchase, a cryptocurrency is delisted from global exchanges or its network becomes inactive, Sarmayex shall bear no responsibility in this regard.

3.12 Orders are calculated based on real-time prices at the moment of registration.

3.13 Trading services are available 24/7, including holidays.

3.14 Selling prices are based on the rate at the time the cryptocurrency is received in Sarmayex’s wallet.


4. Account Suspension or Restrictions

In the event that any of the following circumstances occur, Sarmayex may, at its sole discretion and without prior notice or the need for any legal or administrative formalities, suspend the user’s orders and temporarily restrict access to the user’s account until a final determination is made, or permanently terminate the provision of services to the user:

4.1 Any inquiry by competent authorities regarding the user’s identity information or wallet addresses flagged as high-risk or associated with suspicious activity, regardless of whether such inquiry is made formally in writing or verbally.

4.2 Legal incapacity or death of an individual user.

4.3 Transfer of cryptocurrency to suspicious wallet addresses or those listed on blacklists.

4.4 Suspicion of fraudulent or suspicious activities by any means as determined by Sarmayex.

4.5 Violation of applicable laws, regulations, or legal directives; engagement in high-risk or harmful activities; or failure to comply with ethical and Islamic standards, as determined by Sarmayex.

4.6 Suspicion that the source of the user’s fiat funds is illegal, illegitimate, or belongs to another person.

4.7 Technical reasons or at the discretion of Sarmayex.


5. Listing and Delisting of Cryptocurrencies

5.1 If the value of a cryptocurrency held in the user’s wallet falls to zero due to its delisting from global exchanges, Sarmayex shall bear no responsibility in this regard. Sarmayex’s obligation is limited to maintaining cryptocurrencies in a secure environment, and it bears no responsibility for changes in the value of such assets.

5.2 The user is responsible for monitoring important cryptocurrency-related updates, including potential delisting from global markets. In the event that a cryptocurrency is removed from both the global market and Sarmayex, any resulting consequences shall be the sole responsibility of the user.

5.3 The user is solely responsible for any renaming of cryptocurrencies or their conversion into other digital assets.

5.4 Users must pay careful attention to different versions or variations of a cryptocurrency when trading. Sarmayex shall bear no responsibility for differences between such versions.

5.5 Prior to engaging in cryptocurrency transactions, users must determine whether their intended use of the asset is for investment or storage purposes.

5.6 Sarmayex bears no responsibility for fluctuations in the value of listed cryptocurrencies.

5.7 If the user fails to withdraw or convert a cryptocurrency within 48 hours following Sarmayex’s notification of its delisting, Sarmayex reserves the right to convert such cryptocurrency into fiat (IRR) or other cryptocurrencies.

Any resulting profit or loss shall be borne solely by the user.
